Contract Conclusion

The Management Board of Remak- Energomontaż S.A. ("Issuer", "Company", "Contractor"), informs that today it learned about signing a contract with ArcelorMittal Poland Spółka Akcyjna, the subject of which is repair of steam turbines TG-1, TG-2, TG-3 in Zdzieszowice Branch. (hereinafter: the "Contract").

The estimated value of the Contract is PLN 13.947.326,00 net, while the Contract shall be performed on the basis of individual orders that shall be transferred by the Purchaser - ArcelorMittal Poland Spółka Akcyjna to the Contractor, during the term of the Contract. The above value does not constitute a financial obligation of the Purchaser towards the Contractor. The settlement between the contractual parties shall be as- built, based on the agreed unit prices according to the ordered scope of renovation works. The expected contractual date: from 13.12.2021 up to 28.02.2025.

The Contractual Parties have agreed the amount of the contractual penalty for untimely performance of the works due to reasons attributable to the Contractor at the level of 0.5% of the net value of a given order for the day of postponement/ delay, however not more than 10% of the net value of the remuneration for entsrusted order. The Contract does not contain a total limitation of the amount of contractual penalties for all reasons, no limitation of the Contractor's total liability has been introduced, the possibility of seeking supplementary compensation on general principles has been reserved to the extent to which the possible damage exceed the reserved contractual penalties. The Contractor's liability for lost of profits, consequential and indirect damages has not been excluded. The event was considered significant due to its value and importance for the Issuer.
